    “Tata Communications to Acquire Kaleyra in $100 Million All-Cash Deal, Expanding Presence in Customer Interactions Platform Market”

    Tata Communications, a leading global digital infrastructure provider, has announced its plans to acquire Kaleyra, a NYSE-listed omnichannel integrated communication services provider. The acquisition, structured as an all-cash deal, aims to bolster Tata’s position in the customer interactions platform market and enhance its portfolio of multi-channel communication solutions.

    Kaleyra, known for its proprietary platforms offering personalized communication services through messaging, video, push notifications, e-mails, voice-based services, and chatbots, has established itself as a key player in the business communications market. Its strong presence in industries such as banking and financial services, retail, and digital commerce across global markets has contributed to its success. Additionally, Kaleyra boasts a talented team with expertise in technology, engineering, and research and development.

    Under the terms of the agreement, Tata Communications will acquire Kaleyra at a price per share of $7.25, resulting in a total consideration of approximately $100 million for Kaleyra shareholders. The deal also includes the assumption of all outstanding debt, with Kaleyra’s gross debt standing at $224.9 million and net debt around $150 million.

    A S Lakshminarayanan, Managing Director and CEO of Tata Communications, expressed excitement about the investment in Kaleyra, highlighting the company’s remarkable talent and demonstrated capabilities in next-generation technologies. Lakshminarayanan emphasized that the acquisition will enable Tata Communications to further develop intelligent, intuitive, and innovative multi-channel communication solutions, thereby unlocking new growth opportunities for their customers.

    The consummation of the acquisition is contingent upon approval by Kaleyra’s stockholders, certain regulatory clearances, and customary closing conditions. The transaction is expected to be finalized within the next six to nine months. Once the deal is completed, Kaleyra will become a subsidiary of Tata Communications.

    In 2022, Kaleyra witnessed a notable revenue increase, reporting $339.17 million compared to $267.74 million in CY21. This upward trajectory reflects the company’s successful positioning in the market and its ability to deliver valuable communication services to its clients.

    The acquisition of Kaleyra marks another significant move for Tata Communications as it seeks to expand its presence in the customer interactions platform market. By combining Kaleyra’s expertise and proprietary platforms with Tata’s global reach and CommTech capabilities, the partnership is expected to drive innovation and create synergies that benefit both companies and their customers.
